Inversiones Agrícolas y Comerciales S.A. and Empresas Carozzi S.A. (“Empresas Carozzi”) have retained Guerrero Olivos for the acquisition of 99,93% of the shares of Bonafide S.A.I. y C. (“Bonafide”) a company incorporated under the laws of Argentina which is devoted to the production and commercialization of coffee, snacks and candy, it also operates more than 238 coffee store and restaurants (under franchise scheme) in Argentina, Chile and Uruguay. In the context of Inversiones Agrícolas y Comerciales S.A.’s (“IACSA”) corporate structure reorganization, (open corporation part of the Carozzi Group holding), in order to focus its operation only in its core business (agriculture transactions), it decided to sell its shares in Bonafide, which were acquired by parent company Empresas Carozzi.

Empresas Carozzi made an offer to acquire the shares in Bonafide. This transaction was subject to strict rules in Chile in connection with the related parties transaction and Argentina and was duly informed to the Securities and Exchange Commission.
