Australian TAGLaw member, Piper Alderman, recently advised The Food Revolution Group Ltd (ASX:FOD) on a strategic distribution agreement and investment by Careline. The proposed distribution agreement provides FOD with access to Careline’s extensive product distribution network in China.


Careline is incentivised, through the issue and conversion of up to 280million Performance Shares at staged hurdles, to lift FOD’s revenue from $35 million per annum to up to $500 million per annum, marking this as a significant deal in the history of the company.

Piper Alderman recently advised the sellers of Optimatics Holdings Pty Ltd (comprising a series of private and institutional investors, including Emerald Technology Ventures) on the company’s sale to Suez Ventures.


Optimatics is the world-leading provider of infrastructure planning software that enables water and wastewater utilities around the globe to configure water systems to optimise performance.

This brings Randalls total number of outlets to 49, following approval from competition authority, CICRA. Dykema, a leading national law firm, is proud to announce that Michael C. Toth, Austin-based senior counsel in the firm’s Commercial Litigation Practice Group, was sworn in as justice on the Texas 3rd Court of Appeals yesterday, September 26, 2018. Toth was appointed by Texas Governor Greg Abbott to replace Justice Bob Pemberton, who retired after 15 years on the Court.

Toth joins Dykema alumni David Schenck and Christine Nowak as Texas-based attorneys who have taken bench positions in recent years. Schenck was appointed by Texas Governor Rick Perry as a Justice on the Fifth Court of Appeals in Dallas, and Nowak took the bench as Magistrate Judge for the United States District Court for the Eastern District of Texas, Sherman Division.

Piotr Spaczyński has been listed on the CIETAC’s Panel of International Investment Arbitrators. CIETAC (China International Economic and Trade Arbitration Commission) is globally renowned and one of the biggest arbitration institutions in the world. Piotr will act as an arbitrator in investment disputes concerning the Belt and Road Initiative. Congratulations!
