Kochhar & Co. Advised Tech Mahindra on its Acquisition of Assets of TransSys Group

Kochhar & Co. advised Indian technology giant, Tech Mahindra on its Assets Purchase of TransSys Group of Cos. – a global consulting and technology services company with presence in Asia, the Middle East and Africa. The transaction was structured as an ‘asset purchase’ and involved the acquisition of substantial assets of TransSys on an as is where is basis by Tech Mahindra.

This was a multi-jurisdictional deal involving India, UAE, Kenya, and Malaysia and therefore the transaction had to be structured to comply with the local law requirements in the said jurisdictions. The deal involved comprehensive advice on contractual obligations, employment and HR issues including compensation and benefits, liability and indemnification. It also involved extensive liaising with customers to ensure a smooth transition.

Kochhar & Co. Advises Finicity, on its Acquisition by MasterCard in a US $ 825 million all cash deal

MasterCard has acquired the leading American Fintech company - Finicity Technologies along with its two wholly owned subsidiaries in India and Australia. Working closely with Finicity’ s global counsel - Cooley LLP, the Kochhar team comprising its Mumbai Resident Head & Senior Partner Rajarshi Chakraborty, Partner Sameena Jahangir, Senior Associate Tavishi Chandra and Associate Sneha Bhagwat advised the client on the Indian leg of the global transaction and assisted in all pre-closing, closing and post-closing formalities.

Under the terms of the agreement, Mastercard acquired Finicity for US$ 825 Mn upfront, with the potential of US$ 160 Mn in additional earn-out payments contingent on meeting performance targets.

The aforesaid transaction is the Winner of the DEAL OF THE YEAR AWARD 2020 by Indian Business Law Journal (IBLJ)

PagarBook raises $15 million in Series A funding

Kochhar & Co. advised Bengaluru based PagarBook on its Series A funding round of US$ 15 Mn led by Sequoia Capital, which also saw a participation from India Quotient.

PagarBook is a staff and payroll management solutions provider - reportedly with over 3 million registered users in the SME space. The fund raise is intended to facilitate future product development and expansion of its product portfolio and drive customer acquisition.

The Kochhar team comprised Delhi Partner Sarika Raichur and Senior Associate Sidhartha Jatar.

Kochhar & Co. Advises Xpitax Solutions, on its Acquisition by CCH Incorporated for US $ 160 million

CCH Incorporated has acquired the leading ITES company – XCM Solutions, including its Indian subsidiary, Xpitax Solutions, for USD 160 million. Working closely with its US counsels – Haynes & Boone, the Kochhar team led by Senior Partner Vijay B Ravi advised Xpitax on the Indian leg of the global transaction and assisted in all pre-closing, closing and post-closing formalities.

Kochhar & Co. represented Eze Castle Integration on its acquisition of digital transformation firm – NorthOut Inc

Kochhar & Co. assisted Eze Castle (a portfolio company of private equity investment firm H.I.G. Capital and a global leader in technology solutions) on the Indian leg of its acquisition of NorthOut Inc. The Kochhar team led by Senior Partner Vijay B Ravi and supported by Sr. Associates Ishani Ghosal and Ankita Rai assisted Eze Castle in conducting comprehensive legal due diligence of the Indian entity, closing compliances and related formalities.

NorthOut is a fast-growing digital transformation firm headquartered in Boston, USA focused on delivering solutions including Digital Experience Design, Application Modernization, DevOps and System Integration.

The said acquisition is a powerful step in accelerating Eze Castle Integration's digital transformation offering and reinforces its leadership position in end-to-end technology solutions for the financial and professional services industries.

Kochhar & Co. advised Texas based Anblicks on its acquisition of Knowarth Technologies Pvt Ltd. The transaction was led by Senior Partner, Aruna Kumari and Partner Sarika Raichur and supported by Principal Associates Amarendra Gogoi and Vijay Kumar Naidu and Senior Associate Sidhartha Jatar. The transaction involved advising and assisting the client with all pre-closing, closing and post-closing advisory.
